Terms of Service

Welcome to LiveLocalVibes. These Terms are the agreement between you and SunwardPath LLC, which operates LiveLocalVibes ("LLV," "we," "us"), for using livelocalvibes.com, the LiveLocalVibes app, our emails and embeds (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use LLV.

1. Who can use LLV and your account

• You must be 18 or older to use LLV, to create an account and to buy anything. LLV is not directed at children.
• If you create an account for a band, venue or business, you confirm you're allowed to act for it, and "you" includes that band, venue or business.
• Give accurate information and keep it up to date. Keep your password private; you're responsible for what happens under your account. Tell us right away at info@livelocalvibes.com if you think someone else is using it.
• Only claim a venue or band page that is really yours. We may ask you to verify ownership, and we may remove or move a claim we believe is wrong.
• One person, one account per role. Don't create accounts by automated means or to get around a suspension.

2. Your content

"Your content" is anything you post or upload: profiles, photos, logos, bios, music and video links, gig posts, specials, reviews, vibe ratings, messages and ads.

• You keep ownership. You give LLV a worldwide, non-exclusive, royalty-free license to host, store, copy, display, adapt (for example, resize a photo or show a short preview) and share your content to run, promote and improve the Service, including in share previews, search results, and LLV's own social posts and marketing about shows on LLV. This license ends when you delete the content or your account, except for copies already shared, backups kept for a short time, and reviews and anonymous scores described in the Privacy Policy.
• You have the rights. You confirm you own your content or have permission to post it, and that photos of people are shared with their permission.
• Public by design. Profiles, shows, reviews and ads are public. Don't post private information.
• Unclaimed listings. LLV may list venues, bands and shows from public information before the owner joins. We try to keep these accurate but can't promise it. Owners can claim, correct or ask us to remove them.

3. Community rules

To keep LLV a good place to find local music, you agree not to post or do any of the following:

• Harassment, threats, hate speech, or content that attacks people for who they are.
• Sexual or pornographic content, content that exploits or endangers minors, or graphic violence.
• False or misleading information, including fake shows, fake reviews, reviews of a band or venue you're connected to, or reviews offered in exchange for something.
• Pretending to be another person, band or business, or claiming a page that isn't yours.
• Content that infringes someone else's copyright, trademark or other rights, or that shares someone's private information without permission.
• Spam, unsolicited advertising outside paid ad spots, scams, or links to malware.
• Promoting illegal activity, including illegal sale of drugs, weapons or alcohol to minors.
• Faking a vibe rating, for example by spoofing your location or rating a show you aren't at.
• Scraping, copying the Service in bulk, overloading it, getting around security or access limits, or reverse engineering it, except where the law allows.

Reporting. Use the Report link on a review, profile or show, or Contact us, to tell us about content that breaks these rules. We review reports and may remove content, limit features, or suspend or close accounts that break these Terms, with or without notice. Reviews post right away and are moderated afterward, so you may see something before we do; please report it.

4. Gigs, auditions and bookings

• LLV helps bands and venues find each other and coordinate gigs. LLV is not a party to any booking, isn't a talent agent or employer, and doesn't guarantee that a gig happens, that a band performs, or that a venue pays.
• Pay, set times, equipment, cancellation and everything else about a gig are between the band and the venue. Use your own written agreement if you want one. Payments made outside LLV (cash, check, Venmo, Cash App and so on) are between you and the other party.
• When a venue assigns a gig to a band, the gig is confirmed only after the band accepts it.
• Show details (dates, times, cover charges, age limits) come from venues, bands and public sources and may change. Check with the venue before you go.
• Go to shows responsibly. LLV isn't responsible for what happens at a venue or show.

5. Pro memberships, ads and payments

• Free and Pro. Listing a band or venue on LLV is free. Band Pro and Venue Pro add features described on your dashboard. Prices are shown before you buy and are charged through Stripe in U.S. dollars, plus any applicable tax.
• Automatic renewal. Pro is a subscription. It renews automatically each month or year at the then-current price until you cancel. You can cancel any time in your dashboard under Plan and billing → Manage billing; you keep Pro until the end of the period you've paid for.
• Free trials. If you get a free trial, you won't be charged unless you choose a plan. If you choose a plan during a trial, your first charge is when the trial ends.
• Founding Member rates are offered for a limited number of members and a limited time, as shown at signup. The rate stays locked while your subscription stays active; if you cancel and come back later, the regular price applies.
• Refunds. Payments are non-refundable except where the law requires, or where we decide to give one, for example if we charged you in error. Contact us if something looks wrong.
• Price changes. We'll give at least 30 days' notice by email before a price change applies to your renewal.
• Ads and Featured placements. Every ad and Featured placement must be approved by LLV before it runs. We may decline or remove any ad that breaks these Terms or our standards, and we'll refund unused, prepaid time for ads we remove for reasons other than a rule violation. Ads must be truthful and must have the rights to all images and text used. Advertised view and click counts are estimates.
• In the app. Memberships and ads are sold on livelocalvibes.com, not inside the mobile app. A membership bought on the website works in the app too.

6. Other services

LLV links to and embeds services we don't control, such as Google Maps, YouTube, SoundCloud, Instagram, Facebook, Venmo, Cash App and Stripe. Their own terms and privacy policies apply when you use them, and we aren't responsible for them.

7. AI-assisted features

Some LLV features use AI, for example to read a venue's public events page and suggest shows to add. AI can make mistakes. Shows added this way are reviewed before they go live, and venues and bands can correct anything about their own listings.

8. Copyright complaints

If you believe content on LLV infringes your copyright, email info@livelocalvibes.com with: your contact details; the work you believe is infringed; a link to the content on LLV; a statement that you believe in good faith the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorized to act for the owner; and your physical or electronic signature. We'll remove content when appropriate and may close the accounts of repeat infringers.

9. Closing your account

You can stop using LLV at any time and ask us to delete your account. If you have Pro, cancel it first in Plan and billing so you aren't charged again. We may suspend or close an account that breaks these Terms, creates risk or legal exposure for LLV or others, or has been inactive for a long time. Sections that by their nature should survive (such as content licenses for copies already shared, disclaimers, limits of liability and disputes) continue after your account ends.

10. Disclaimers

LLV is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that the Service will be uninterrupted or error-free, that listings, show times, reviews or vibe scores are accurate, or that any band, venue or user will act as they say.

11. Limits on liability

To the fullest extent the law allows, LLV and SunwardPath LLC, and their owners, employees and partners, won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service, from any gig, show or venue, or from the conduct of any user. Our total liability for any claim about the Service is limited to the greater of the amount you paid LLV in the 12 months before the claim, or $100. Some places don't allow these limits, so they may not all apply to you.

12. Your responsibility to us

If someone makes a claim against LLV because of your content, your gigs or bookings, or your breach of these Terms or the law, you agree to cover our reasonable costs, including legal fees, to the extent the law allows.

13. Disputes, arbitration and governing law

Please read this section carefully. It means you and LLV settle disputes one-on-one through arbitration instead of in court, and both of us give up the right to a jury trial and to bring or join a class action.

• Contact us first. Most problems can be solved quickly. Before starting arbitration or any claim, email info@livelocalvibes.com with your name, your account email, what happened and what you're asking for. We'll do the same with you, using your account email. Both of us agree to try in good faith to resolve it informally for 60 days before starting a formal case.
• Individual arbitration. If it isn't resolved in 60 days, any dispute or claim between you and LLV (or SunwardPath LLC) arising out of or relating to these Terms or the Service will be decided by final, binding arbitration before a single arbitrator, except as described below. The arbitration will be run by the American Arbitration Association (AAA) under its rules in effect at the time (the Consumer Arbitration Rules for personal accounts, the Commercial Arbitration Rules for band, venue and business accounts). It may be held by video or phone, in Hillsborough County, Florida, or in the county where you live. Filing and arbitrator fees are paid as the AAA rules provide. The arbitrator can award the same individual relief a court could, and the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
• No class actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not combine more than one person's claims or award relief to anyone other than the individual party. If this paragraph is found unenforceable for a particular claim, that claim (and only that claim) goes to the courts listed below, and the rest of this section still applies.
• Small claims. Either of us may bring an individual claim in small claims court instead, as long as it qualifies and stays there.
• Intellectual property and misuse. Either of us may ask a court to stop infringement of copyrights, trademarks or other intellectual property, or misuse of the Service such as scraping or hacking.
• Governing law and courts. These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. Anything that goes to court under this section will be heard in the state or federal courts located in Hillsborough County, Florida, and you and LLV consent to those courts.

14. Changes to these Terms

We may update these Terms as LLV grows. We'll change the date at the top, and for important changes we'll tell you by email or in LLV before they take effect. If you keep using LLV after a change takes effect, you accept the new Terms.

15. Everything else

These Terms and the Privacy Policy are the whole agreement between you and LLV about the Service. If part of these Terms can't be enforced, the rest still applies. If we don't enforce something right away, we haven't given up the right to. You can't transfer these Terms without our permission; we may transfer them as part of a merger, sale or reorganization.
